Welcome to BRIO Health! These Terms andConditions (“Terms”) govern your access to and use of the BRIO Healthwebsite, platform, and services (“Service” or “Services”). Bycreating an account or using BRIO Health, you (“User,” “you,” or“your”) agree to be bound by these Terms. If you do not agree with anypart of these Terms, please do not use our Services.

BRIO Health (“Company,” “we,” “us,” or our”) provides an AI-powered healthcare information platform designed for medical students and healthcare professionals. Our platform uses advanced artificial intelligence to assist with medical and educational queries, offering informational content, study support, and general medical knowledge resources. It is important to understand that BRIO Health is not a medical clinic or healthcare provider, and the information provided by our Services is not professional medical advice. These Terms clarify your responsibilities as a user and our obligations as the service provider, and they outline important disclaimers and limitations. Please read them carefully.

1. AccountCreation and User Eligibility

Eligibility: To use BRIO Health, you must beat least 18 years old or the age of majority in your jurisdiction, whichever ishigher. By registering an account, you represent and warrant that you are atleast 18 years of age andhave the legal capacity to enter into these Terms. Our platform is intended foradults, particularly those in the medical field (students, professionals,educators). We do not knowingly allow minors to create accounts or use theService.

Account Registration: In order to accesscertain features of the Service, you may be required to create an account. Whencreating an account, you agree to:

  • Provide Accurate Information: You will provide true, accurate, and complete information aboutyourself as prompted by the registration form (including your name, a validemail address, and any required profile information). You also agree to updateyour information promptly if it changes, so that your account details remainaccurate and current.
  • Account Credentials: You must choose a secure password for your account. It is yourresponsibility to maintain the confidentiality of your password and any logincredentials. You agree not to share your account with others. BRIO Health willnever ask you to disclose your password. If you suspect any unauthorized use ofyour account, you must notify us immediately (see Contact Information atthe end of these Terms).
  • One Account Per User: You should not create multiple accounts or impersonate any otherperson or entity. Users are expected to register for their own use and notmisrepresent their identity or affiliation.

Account Security: You are responsible for allactivities that occur under your account. BRIO Health is not liable for anyloss or damage arising from unauthorized use of your account, with or withoutyour knowledge. However, you could be held liable for losses incurred by BRIOHealth or others due to such unauthorized use. Please use a strong password andexercise caution on shared devices or networks to protect your account.

Profile and User Contributions: If ourplatform allows you to create a user profile or contribute content (such asposting in forums, commenting, or submitting materials), you must ensure thatany information or content you provide complies with these Terms (see AcceptableUse below) and is appropriate for a professional environment. We reservethe right to remove or edit any user-submitted content that violates ourpolicies or applicable law.

2. Description of Services

BRIO Health provides online tools and resources leveraging artificialintelligence to support learning and information retrieval in the medical andhealth sciences field. Key aspects of our Services include:

  • AI-Powered Medical Q&A: Users can input medical or health-related questions into our system,and our AI (which may utilize a Large Language Model) will generate responseswith relevant information, explanations, or references. The aim is to assistmedical students and professionals in understanding complex topics, studyingfor exams, or exploring medical knowledge.
  • Educational Content: Our platform may offer articles, summaries of medical topics,flashcards, or other educational materials curated for learning purposes. Thiscontent might be generated or augmented by AI, and is intended forinformational use.
  • Personalized Experience: Over time, the platform may learn from user interactions (in aggregateand in compliance with our Privacy Policy) to provide better answers orsuggestions. For example, frequently asked questions or popular topics might behighlighted, and the AI might improve its answers based on common user needs.
  • Community and Collaboration (ifavailable): BRIO Health may include community featuressuch as forums or group discussions for users to share study tips, discussmedical cases hypothetically, or collaborate on learning. These features, ifprovided, are subject to moderation and additional guidelines to maintain arespectful and helpful environment.

Service Availability: We strive to keep BRIOHealth available and functioning optimally. However, we do not guaranteeuninterrupted access. There may be occasions when the Service is unavailabledue to maintenance, upgrades, network issues, or unforeseen circumstances. Wereserve the right to suspend or discontinue any part of the Services at anytime, with or without notice (though we will try to provide advance notice forplanned downtime).

Beta Features: From time to time, we mayrelease new tools or features in a beta version (testing phase). Such features will be labeled as beta and may not be as reliable as our main Services. Youruse of beta features is voluntary, and you understand that they are provided“as-is” and may have bugs or be subject to change.

No Doctor-Patient Relationship: Using BRIOHealth does not create any doctor-patient relationship between you andBRIO Health or between you and any content provided through the Service. Theplatform is an educational resource, not a provider of medical care.Always seek professional medical advice for personal health issues (moredetails in Medical Disclaimer below).

3.Acceptable Use and User Responsibilities

We expect users to use BRIO Health in a manner that is lawful, ethical,and respectful of others. By using our Services, you agree to the followingacceptable use policies and you agree not to engage in any prohibitedconduct:

  • Lawful Purposes Only: You will use BRIO Health only for purposes that are legal in yourjurisdiction. You will not use the Service to post or transmit any content thatis unlawful, fraudulent, defamatory, harassing, obscene, or otherwiseobjectionable.
  • No Harmful Activities: You will not introduce viruses, malware, or any other harmful code to our platform. You will not attempt to gain unauthorized access to any portionof our Service, other user accounts, or any systems or networks related to BRIOHealth. Attempting to probe, scan, or test the vulnerability of our systems orbreaching security or authentication measures is strictly prohibited.
  • No Misuse of AI: You will not misuse the AI features of the Service. Prohibited uses include attempting to generate disallowed content (such as instructions for illicit activities, hate speech, or sexually explicit content), engaging inactivities that violate ethical guidelines of medical practice, or using the AIoutput for malicious purposes (like spreading medical misinformationknowingly). Users are expected to use the AI as a helpful tool for legitimateeducational or informational needs, and to exercise judgment and verifyinformation as needed.
  • Respect Intellectual Property: You will not upload, share, or transmit any content through BRIOHealth that infringes someone else’s intellectual property rights (such ascopyrighted materials, trademarks, or proprietary information that you do nothave permission to use). Likewise, you will not attempt to copy, distribute, orcreate derivative works from the content or software of BRIO Health except asallowed by these Terms (see Intellectual Property section).
  • No Data Mining or ExcessiveUse: You will not use any automated system (such as bots, spiders, or scrapers) to access the Service for extracting data orperforming any actions at a rate that exceeds what a human can reasonably dousing a normal web browser. You also agree not to overload or disrupt theService, for example by making excessive requests or attempting to interferewith the server’s normal operations.
  • User Interaction: If community features exist (forums, chats, etc.), you agree to engagewith other users in a respectful and professional manner. Do not harass, bully,or impersonate others. Do not post anyone’s personal information withoutconsent. Keep discussions civil and on-topic related to medical education andpractice.
  • Accuracy of Information YouProvide: If you supply any information on the platform(such as case details for discussion or personal profile info), you must ensurethat it is accurate to the best of your knowledge and does not violate privacyor confidentiality obligations. In particular, do not share real patientdata or any personally identifiable health information on this platform. Any clinical scenarios or data used in queries should be hypothetical or de-identified in accordance with privacy laws and ethical guidelines.

BRIO Health reserves the right to monitor usage of the Service toensure compliance with these rules. If we discover behavior that violates theseTerms, we may take action, including issuing warnings, removing or editingcontent, suspending or terminating accounts, or reporting you to lawenforcement if the activity is unlawful.

4. Prohibited Conduct

To further clarify the above acceptable use policy, here are specificexamples of prohibited conduct. You must not:

  • Use the Service for Medical Emergencies: Do not use BRIO Health to seek help in amedical emergency or for urgent health situations. Our platform is notmonitored 24/7 and cannot provide real-time assistance. If you have anemergency, call your local emergency number or seek immediate medical attentionfrom professionals.
  • Attempt to Mislead with AIOutputs: Do not present AI-generated content from BRIO Health as if it were professional medical advice or an established fact without verification. You should not use our AI outputs in a way that could mislead patients or colleagues (for example, copying an AI answer and using it to make a clinical decision without further validation).
  • Violating Privacy orConfidentiality: Do not upload or share content thatcontains private or confidential information of any person or entity—thisincludes patient information, personal health details, or confidentialinstitutional data.
  • Reverse Engineering: Do not attempt to reverse engineer, decipher, decompile, or disassemble any of the software or algorithms used in our Services. The AI models, software code, and infrastructure are proprietary to BRIO Health and/or its partners. Any attempt to extract source code or underlying algorithms isprohibited.
  • Circumventing Access Controls: Do not bypass any measures we have put in place to restrict access orusage of the Service. This includes not trying to use the Service if we’vespecifically revoked your access or banned you, and not helping others toviolate these restrictions.
  • Commercial Exploitation: You may not use the Service for commercial purposes not authorized by us. For example, you should not resell our responses, scrape our content tocreate a competing service, or use our platform for advertising or marketing toother users without our permission. The Service is for your personal andprofessional development use, not for unsolicited promotion or profit-makingfrom our content.
  • Multiple Accounts andManipulation: You should not create multiple accountsto game the system, distort usage analytics, or bypass account limits. You alsoshould not engage in activities that manipulate the results or outputs of theAI (for instance, feeding misleading data or using automated scripts to generate content).

This list is not exhaustive. The guiding principle is that you use BRIOHealth responsibly, ethically, and in compliance with all applicable laws andthese Terms. If you’re ever unsure whether something might violate our rules,please err on the side of caution or contact us for clarification.

Violating the Acceptable Use guidelines or engaging in ProhibitedConduct may result in suspension or termination of your account, and inserious cases, legal action. We value our user community and the integrity ofour platform, so we appreciate your cooperation in keeping BRIO Health a safeand useful space.

5. Intellectual Property Rights

BRIO Health Content: Unless otherwiseindicated, all content on the BRIO Health platform – including text, graphics,logos, design elements, software, code, databases, and the compilation ofcontent – is the intellectual property of BRIO Health or its content suppliersand is protected by copyright, trademark, and other applicable intellectualproperty laws. BRIO Health (and its licensors, if applicable) retains allrights, title, and interest in and to the Service and its content. Thisincludes any AI-generated content provided to you as part of the Service, tothe extent such content is protectable by intellectual property rights. All BRIO Health trademarks, logos, and service marks are our property and may notbe used without our prior written consent.

Limited License to Users: We grant you apersonal, non-exclusive, non-transferable, revocable, limited license to accessand use the BRIO Health Services and content for your own personal,non-commercial educational purposes. This means you may view, download(cache) temporary copies, and print reasonable portions of content from thesite for your study, research, or professional development. However, you maynot:

  • Republish or redistribute BRIOHealth content (such as by posting our materials or AI answers on anotherwebsite or publishing them in print) without obtaining permission or as allowedunder applicable fair use laws.
  • Modify or create derivative worksof our content (except for personal use). For example, you shouldn’t take anarticle from our site and alter it for public posting under your name withoutpermission.

This license is solely for thepurpose of enabling us to provide the Service (for example, displaying yourquestions to you, processing them through our AI to generate answers, showingyour contributions in a forum to other permitted users, or using your feedbackto improve the platform). We will not use any user-provided content in a waythat publicly identifies you (unless you have made such content public under youraccount name) without your consent.

You represent that you have the necessary rights to any content yousubmit and that your posting of the content does not violate any law orinfringe anyone else’s rights (such as privacy, publicity, intellectualproperty, or contract rights). If you include any third-party copyrightedmaterial in what you submit (for example, quoting a textbook excerpt in aquestion), ensure it falls under fair use or you have permission.

Feedback: If you provide us with anysuggestions, ideas, or feedback about BRIO Health or our Services (for example,suggestions to improve features or bug reports), you agree that we may use andshare such feedback for any purpose without compensation to you. Feedback isappreciated but entirely voluntary. We may incorporate feedback into ourservices or products.

We respect intellectualproperty laws and will promptly investigate and address valid claims,potentially by removing or disabling access to the allegedly infringingmaterial in accordance with applicable laws (such as the Digital MillenniumCopyright Act “DMCA” in the U.S.).

6. AI-Generated Content and Medical Information Disclaimer

No Medical Advice Provided: The content andinformation available through BRIO Health – including AI-generated answers,articles, and any other material – are for informational and educationalpurposes only. BRIO Health does not provide medical advice orprofessional healthcare services. Nothing on our platform is intended to be a substitute for the clinical judgment of a licensed healthcare provider or for professional medical advice, diagnosis, or treatment. The information and content provided by BRIO Health (whether generated by AI or contributed byusers or staff) is not intended as a substitute for professional medicaladvice, diagnosis, or treatment. Always seek the guidance of a qualified physician or other licensed health provider with any questions you may have regarding a medical condition or before making any decisions related to patient care or your own health. Do not disregard professional medical advice or delay seeking it because of something you read on BRIO Health.

The AI may sometimes produce errors, omissions, or “hallucinations”(plausible-sounding but incorrect statements). It might also be unaware of themost recent research or clinical guidelines if those came after its latest dataupdate. Therefore:

  • Double-check critical information(drug dosages, treatment protocols, etc.) against official sources.

No Doctor-Patient Relationship: Interactionwith our AI or platform does not create any doctor-patient or healthcareprovider relationship. BRIO Health is not practicing medicine;we are offering an informational service.

Use at Your Own Risk: You acknowledge that anyreliance on information obtained through BRIO Health is at your own risk.BRIO Health and its contributors (including any professionals who may haveauthored content) make no warranty that the information is correct, complete,or suited to every purpose. We do not assume any liability for actions takenbased on our content. For instance, BRIO Health is not responsible if you usethe platform’s information to study for an exam and the exam has differentanswers, or if a medical scenario in real life has nuances not captured by ourAI responses. Always use multiple sources and professional guidance whenavailable.

For example, if theunderlying Google LLM service experiences an outage or bug, the BRIO Healthplatform’s responses may be delayed or incorrect, and that is outside of ourdirect control. By using BRIO Health, you acknowledge that certain aspects ofthe Service depend on third parties and accept the risks associated with suchdependencies.

We make no guarantees regarding the availability, reliability, oraccuracy of information as processed by these third-party tools. However, if anexternal service failure materially affects our Service, we will workdiligently to restore functionality and provide updates to users when possible.We may also switch providers or make adjustments as needed to maintain servicequality.

In case of any conflict between these BRIO Health Terms and the termsof a third-party service used in our platform (as they apply to therelationship between you, us, and the third party), these Terms will govern therelationship between you and BRIO Health, and the third-party terms will governyour use of that third-party’s service.

8. Disclaimer of Warranties

BRIO Health provides its Services with a goal of helping users, butthere are important limitations to the promises we make. Your use of theService is at your sole risk. The Service is provided on an “as is”and “as available” basis, without warranties of any kind eitherexpress or implied.

No Express Warranties: BRIO Health does notwarrant that the Service will meet your specific requirements, achieve anyparticular results, or be suitable for your particular purposes. We do notguarantee that the content (including AI-generated content) is accurate,reliable, complete, or timely. While we aim for high quality, we make noexpress warranty that:

  • The Service will be uninterrupted, timely, secure, or error-free. We cannot guarantee that our platform willalways function without disruptions or glitches.
  • The results or answers that may beobtained from the use of the Service will be accurate or reliable. Asnoted, AI answers and even human-curated content can have mistakes or might notapply to your situation.

You are responsible for implementing safeguards (like antivirus software and backing up data) to protect your devices and data when using the internet and our Service.

Professional Disclaimers: Noprofessional-client relationship is created by your use of the Service (asexplained, no doctor-patient relationship). Similarly, information from BRIOHealth should not be construed as legal, tax, or any other professional advice.Always consult appropriate professionals for advice.

Third-Party Services: We disclaim anyliability for any third-party service or content you may access through ourplatform. We provide no warranty for services like the Google LLM, analytics,or any external links — their performance and accuracy are beyond our control.

Some jurisdictions do not allow the exclusion of certain warranties, sosome of the above disclaimers may not apply to you. In such cases, anywarranties required by law are limited to the shortest period and fullestextent permitted.

In summary, BRIO Health is provided without any guarantees. Useyour own judgment and caution in using the information and tools we offer. Ifyou are dissatisfied with any aspect of the Service or these Terms, your soleremedy is to discontinue use of the Service.

9. Limitation of Liability

To the maximum extent permitted by law, in noevent shall BRIO Health or its parent company, affiliates, officers, directors,employees, agents, partners, or licensors be liable for any indirect,incidental, special, consequential, or exemplary damages, however caused,arising out of or related to your use of (or inability to use) the Service.This includes, but is not limited to, any loss of profits, loss of data, lossof goodwill, business interruption, or other intangible losses, even if we havebeen advised of the possibility of such damages.

Examples of Damages Disclaimed:

  • If you relied on information from our platform and it turned out to be incorrect or incomplete, leading to academic, professional, or personal consequences (for instance, you answered a test question incorrectly or made a suboptimal clinical decision), BRIO Health will not be liable for those outcomes.
  • If the Service is unavailable ormalfunctions at a time you needed it (for example, during a study session orwhen you sought information), and you incur costs or losses due to that, we arenot liable for those costs or losses.
  • If a third party gainsunauthorized access to our Service and alters it or uses information from itmaliciously (e.g., via a hack or vulnerability exploit), we will work to remedythe situation, but we are not liable for damages that occur as a result of suchthird-party actions.
  • If you suffer damage to yourcomputer system or loss of data by using our Service or downloading anycontent, our liability is disclaimed.

Cap on Liability: In jurisdictions wherelimitations on liability for certain types of damages are not fullyenforceable, our liability will in any case be limited to the lesser of (a) the amount you have paid us in fees (if any) in the last twelve (12) months for use of the Service, or (b) USD $100.00. Multiple Users and Content: We are not liablefor the conduct of other users or third parties. If you interact with othersthrough our platform (like in community forums) or access third-party contentvia links, that is solely between you and that party. BRIO Health is notresponsible for any disputes or harm arising from such interactions.

Because some states or countries do not allow the exclusion orlimitation of liability for consequential or incidental damages, the abovelimitation may not apply to you. In such cases, our liability is limited to thefullest extent permitted by law.

The limitations of liability in this section are a fundamental part ofthis agreement between you and BRIO Health and shall apply to the maximumextent permitted by law, even if any limited remedy fails of its essentialpurpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless BRIO Health,its parent organization, affiliates, officers, directors, employees, agents,and partners from and against any and all claims, liabilities, damages, losses,or expenses (including reasonable attorneys’ fees and costs) that arise out ofor relate to:

  • Your use of the Service, includingany content you submit or any actions you take based on information obtainedfrom BRIO Health. For example, if you post content that infringes someone’scopyright and they sue us, or if you misuse the platform in a way that causesdamage and a claim is brought, you agree to cover any resulting costs to us.

11. Suspension and Termination

Termination by You: You are free to stop usingBRIO Health at any time. You may delete your account by following theprocedures on the platform or by contacting us. If you delete your account, ourPrivacy Policy describes what may happen with your data (e.g., we may retaincertain information as required or permitted by law).

Termination or Suspension by Us: We reservethe right to suspend or terminate your access to the Service, or terminatethese Terms, at our discretion, with or without notice, at any time and for anyreason. Common reasons for termination may include:

Assignment: You may not assign or transfer these Terms or any of your rights orobligations hereunder, in whole or in part, without our prior written consent.BRIO Health may freely assign these Terms (in whole or in part) as part of amerger, acquisition, sale of business, or by operation of law or otherwise.These Terms shall inure to the benefit of and be binding upon the parties andtheir respective permitted successors and assigns.

Relationshipof Parties: You and BRIO Health are independentcontractors. These Terms do not create a partnership, franchise, joint venture,agency, fiduciary, or employment relationship between the parties. You have noauthority to make or accept any offers or representations on behalf of BRIOHealth.

Headings: The headings in these Terms are for convenience only and have no legalor contractual effect.
